保证：制造商担保凡根据本协议出售的“产品”如经证实在出售时质量低劣，并经制造商认可，则制造商应予免费修复或调换。但此项免费修复或调换的保证， 以“产品”在出售后未经变更或未经不正确地使用为限。除上述保证外，双方均同意不提供任何其它保证。
Guaranteed: according to this agreement, The manufacturer guarantees,all "the products" would be given free repaired or exchanged by manufacturer approval after the confirmation when selling the quality to be inferior. But this free repairs or exchanges the guarantee is limited on not being changed after selling or useing incorrectly. Besides the above guarantee, both sides agreed does not provide any other guarantees.
终止：协议双方应认真负责地执行各项条款。在下列条件下，每一方得以书面通知另一方立即终止本协议或取消其中某一部分：

转让要协议任何一方在未经征得另一方书面同意之前，不得将本协议规定的任何权利和义务转让给第三者。任何转让，未经另一方书面明确同意，均属无效。
Either party is not be able to transfer any rights and obligations of this agreement to the third party. Without giving written undertaking to the other side.
Any transfer, without the written agreement of otherwise is invalid.
产品：系指由甲方制造并以其商标销售的或者OEM甲方产品销售的SCDMA产品，目前包括SCDMA无线接入产品（基站等），手机系列、无线桌面终端系列，包括核心网产品；接入设备；终端。以及随时经双方以书面同意的其他商品。
The SCDMA products which are made by Party A and sold according to their brands or related to the products sold by the first party of OEM.
As well as the others commodities are reached to agreements through the mutual written approval at any moment.
商标：本协议中所称“商标”系指（商标全称）
Brand: The “Brand”in this agreement refers to (the full name of the Brand)
地区：指制造商授权代理人能够销售产品的行政辖区。
法律关系：本协议给予代理方的权利和权力只限于给与一般代理的权利和权力，本协议不产生其它任何关系，特别是，本协议并不构成或委派代理方为制造商的代表，雇员或 合伙人。双方明确和理解并同意，在任何情况下，乙方可能遭受的任何损失，不论 部分或全部，甲方均不承担责任。
The relationship to the law: The duties and power to the agent given by this agreement just are limited to the general duties and power. The agreement doesn’t refer to any relationship. Especially, The agreement has no right to constitute or appoint someone as the representative of the manufacturer as well as the employees or partners. Under the definite understanding and consent, at any rate, Party A bears no responsibilities to any possible full or part loss on Party B.
指示：代理方应严格遵守制造商随时发来的指示。由于代理方超越或违背制造商指示而造成的任何索赔、债务和责任，代理方应设法保护制造商的利益并赔偿制造商因此 而遭受的损失。
Directions: The agent should obey strictly the directions sent by manufacturers. To any claims, liabilities and responsibilities result from the overstepping or contravention to the directions of the manufacturers , the agent should manage to protect the profit of the manufacturers and compensate any loss.
推销：代理方应积极促进“产品”的推销，获取订单，并保持一个有相 当规模和足够能力的推销机构，以利“产品”在“地区”的业务顺利开展和扩大。
Promotion: The agent should accelerate the promotion of the “products” and obtain the orders actively. A large scope and full of abilities institution establishment and maintenance should have advantage to the business enlargement and development of the “products” in “regions”.
“产品”价格与条件：乙方保证按照甲方在本协议有效期内随时规定的价格和条件进行推销。在获取订单时，乙方应充分告知客户，甲方的销售确认书或合同内的一些条款以及任何订单均须经乙方确认接受后方为有效。乙方收到的“产品”订单，应立即转给甲方以便予以确认或拒绝。
“products price and conditions”: Party B pledges to promote the products according to the stipulated price and condition by Party A within the valid period of this agreement. As obtaining orders, Party B should inform of the sales confirmations or the items in contracts to clients. Any orders will be invalid without the confirmation by Party B. Any “products” orders to Party B ought to be transferred to Party A in order to be confirmed or refused.

Trademark: Party A at present has the property of the use of the trademark, the design, and other marks, without the written agreement specially by Party A, party B does not directly or indirectly, completely either partially use or register. Even if according to some way, the party B with the written agreement specially by party A , this kind of use should immediately stop and the cancellation. when this agreement expires or the termination. About above right, if has any dispute or sues for damages, party A is authorized to unilaterally cancels this agreement and not to undertake immediately from this any responsibility which produces.

Accidental force: The accidental force results in any direct or indirect delay and null performance of the full or part items in this agreement to either side, the other side have no right request for any claims. The accidents include: flood, fire, wind disaster , earthquake, tsunami, lightning strike, epidemic, war, quarantine, embargo, impounding, war menace, imposition, disturbance, electric power control, import or export forbidden, as well as the similar reasons out of control by parties and any other special reasons under the both side approval. The related side should notice the other side by written form within__________ days after the accidents and provide the documentary proofs by local related institution and testify the accidents.
生效日期：本协议自双方签字之日起立即生效。
未尽事宜：本协议如有未尽事宜须加补充或修改时，应以书面提出 并经双方正式授权的代表签署后方能生效。
Valid date: The agreement will be valid since both sides put the signatures on it.
Outstanding articles: Should the outstanding articles be complemented or amended in this agreement, the articles should be put forward by written form and become valid after both authorized representatives subscribe this agreement.
